INTRODUCTION
Welcome to Cowork Evansville, the newly established co-working space located at Innovation Pointe! It is our belief that the supportive environment and friendly atmosphere will make a positive contribution to you and/or your company’s future. We hope that your time spent as a Member of Cowork Evansville will be the foundation for a successful and rewarding venture.
OVERVIEW
Cowork Evansville, Evansville’s premier co-working space offers local innovators a contemporary, professional, open desk, workspace with opportunities to collaborate and network with like minds. Cowork Evansville is located inside Innovation Pointe, a high-tech business incubator managed by the Evansville Regional Economic Partnership (EREP) in Downtown Evansville. Cowork Evansville offers a number of amenities including: 24 hour (secure) access, high speed internet connection, use of conference rooms, essential operating services, convenient parking, mailing service, and access to counseling and mentoring services.
MISSION
Cowork Evansville seeks to provide a shared, membership-based ecosystem for independent workers. It is our objective to help you attain your goals for success in establishing and growing your venture. The services that Cowork Evansville provides to you are subject to the terms outlined in this Member Agreement. Cowork Evansville reserves the rights to update the Member Agreement at any time.
LEGAL STUFF
- Acceptance of Terms. Evansville Regional Economic Partnership (EREP) will provide to the undersigned member on behalf of himself/herself and his/her business (collectively, “Member”) certain services including, but not limited to, the use of co-working space, access to internet and use of certain office equipment (collectively, “Services”) all of which will be subject to the following terms and conditions of this Membership Agreement and the and the Assumption of Risk, Waiver, and Release from Liability and Innovation Pointe MAKE IT Evansville User Agreement and Policies, which are incorporated herewith and made a part hereof. EREP retains the right to update, amend and/or change the terms and conditions of this Membership Agreement at any time and in its sole and unfettered discretion without prior notice to Member.
- No Unlawful or Prohibited Use. As a condition of Member’s use of the Services, Member will not use the Services for any purpose that is unlawful or prohibited by these terms, conditions and notices. Member may not use the Services in any manner that could damage, disable, overburden, or impair any EREP / Innovation Pointe server, or the network(s) connected to any EREP / Innovation Pointe server, or interfere with any other party’s use and enjoyment of any Services. Member may not attempt to gain unauthorized access to any Services, or accounts, computer systems or networks connected to any EREP / Innovation Pointe server or to any of the Services, through hacking, password mining or any other means. Member may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services. Member hereby represents and warrants that it has all requisite legal power and authority to enter into and abide by the terms and conditions of this Membership Agreement and no further authorization or approval is necessary. Member further represents and warrants that its participation or use of the Services will not conflict with or result in any breach of any license, contract, agreement or other instrument or obligation to which it is a party.
- Information Disclosure. EREP reserves the right at all times to disclose any information about Member, its participation in and use of the Services as EREP deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in the EREP’s sole and unfettered discretion.
- Confidentiality. Member acknowledges that during participation in and use of the Services, Member may disclose to other members and other members may disclose to Member Confidential Information. “Confidential Information” includes, without limitation, information about business, sales, pricing, operations, know-how, trade secrets, business affairs, books and records, analyses, compilations, studies or other documents, regardless of whether such information is designated “Confidential Information.” EREP is not and will not be a party to any such exchange of Confidential Information between members and does not assume any liability for actions of other members with regard to such Confidential Information. EREP does not assume any responsibility by way of this Membership Agreement to safeguard Member’s Confidential Information from misappropriation. MEMBER HEREBY EXPRESSLY RELEASES AND HOLDS HARMLESS EREP FROM ANY CLAIMS THAT MAY ARISE WITH REGARD TO ANY UNAUTHORIZED DISCLOSURE OF AND/OR MISAPPROPRIATION OF CONFIDENTIAL INFORMATION, OR OTHERWISE IN ANY WAY RELATED TO THE MEMBER’S USE OF THE SERVICES.
- Participation in or Use of Services. Member acknowledges that it is participating in or using the Services at its own free will and decision. Member acknowledges that EREP, to the maximum extent permitted by applicable law, does not have any liability with respect to its access, participation in, use of the Services, or any loss of information resulting from such participation or use.
- Disclaimer of Warranties. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EREP PROVIDES THE SERVICES "AS IS", “WHERE IS”, AND WITH ALL FAULTS, AND HEREBY DISCLAIMS WITH RESPECT TO THE SERVICES ALL WARRANTIES, GUARANTIES, AND CONDITIONS OF ANY KIND OR CHARACTER WHATSOVEVER, WHETHER EXPRESS, IMPLIED OR STATUTORY, ORAL OR WRITTEN, PAST, PRESENT, FUTURE INCLUDING, BUT NOT LIMITED TO, ANY (IF ANY) WARRANTIES, DUTIES OR CONDITIONS OF OR RELATED TO: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, LACK OF VIRUSES, ACCURACY OR COMPLETENESS OF RESPONSES, RESULTS, WORKMANLIKE EFFORT, LACK OF NEGLIGENCE, OR ANY OTHER MATTER RELATING TO THE SERVICES. ALSO, THERE IS NO WARRANTY, DUTY OR CONDITION OF TITLE, QUIET ENJOYMENT, QUIET POSSESSION, CORRESPONDENCE TO DESCRIPTION OR NON-INFRINGEMENT. THE ENTIRE RISK AS TO THE QUALITY, OR ARISING OUT OF PARTICIPATION IN OR THE USE OF THE SERVICES, REMAINS WITH MEMBER.
- Exclusion of Incidental, Consequential and Certain Other Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EREP OR ITS SUBSIDIARIES (WHETHER OR NOT WHOLLY-OWNED), AFFILIATES, DIVISIONS, AND THEIR PAST, PRESENT AND FUTURE OFFICERS, AGENTS, DIRECTORS, MEMBERS, REPRESENTATIVES, EMPLOYEES, SUCCESSORS AND ASSIGNS, JOINTLY AND INDIVIDUALLY BE LIABLE FOR ANY DIRECT, SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, TREBLE, EXEMPLARY, CONSEQUENTIAL OR OTHER DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR: LOSS OF PROFITS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF CONFIDENTIAL OR OTHER INFORMATION, BUSINESS INTERRUPTION, PERSONAL INJURY, LOSS OF PRIVACY, FAILURE TO MEET ANY DUTY (INCLUDING OF GOOD FAITH OR OF REASONABLE CARE), NEGLIGENCE, AND ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY RELATED TO THE PARTICIPATION IN OR INABILITY TO PARTICIPATE IN OR USE OF THE SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF THIS MEMBERSHIP AGREEMENT, EVEN IN THE EVENT OF THE FAULT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF CONTRACT OR BREACH OF WARRANTY OF EREP, AND EVEN IF EREP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- Limitation of Liability and Remedies. NOTWITHSTANDING ANY DAMAGES THAT MEMBER MIGHT INCUR FOR ANY REASON WHATSOEVER (INCLUDING, WITHOUT LIMITATION, ALL DAMAGES REFERENCED ABOVE AND ALL DIRECT OR GENERAL DAMAGES), AND REGARDLESS OF THE LEGAL THEORY UNDER WHICH ANY SUCH LIABILITY IS ASSERTED, THE TOTAL AGGREGATE LIABILITY OF EREP OR ITS SUBSIDIARIES (WHETHER OR NOT WHOLLY-OWNED), AFFILIATES, DIVISIONS, AND THEIR PAST, PRESENT AND FUTURE OFFICERS, DIRECTORS, AGENTS, MEMBERS, REPRESENTATIVES, EMPLOYEES, SUCCESSORS AND ASSIGNS UNDER ANY PROVISION OF THIS MEMBERSHIP AGREEMENT AND MEMBER’S EXCLUSIVE REMEDY FOR ALL OF THE FOREGOING SHALL NOT EXCEED ONE YEAR’S WORTH OF MEMBERSHIP. THE FOREGOING LIMITATIONS, EXCLUSIONS AND DISCLAIMERS (INCLUDING THOSE PROVISIONS CONTAINED HEREIN) SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVEN IF ANY REMEDY FAILS ITS ESSENTIAL PURPOSE.
- Termination. EREP reserves the right to terminate any Service at any time and with no advanced
notice. EREP further reserves the right to terminate Member’s participation in and use of any Services, immediately and without notice, if Member fails to comply with this Membership Agreement as determined by EREP in its sole, unfettered discretion.
- Indemnification. TO THE FULLEST EXTENT PERMITTED BY LAW, MEMBER, ITS OFFICERS, DIRECTORS, AGENTS AND AFFILIATES (COLLECTIVELY, “AFFILIATES”) SHALL DEFEND, INDEMNIFY AND HOLD HARMLESS EREP AND EREP’S AFFILIATES, FROM ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, JUDGMENTS, CONTROVERSIES, LIABILITIES, FINES, SUBROGATION CLAIMS BY MEMBER’S INSURERS OR AFFILIATES’ INSURERS, REGULATORY ACTIONS, LOSSES, COSTS, EXPENSES, INCLUDING BUT NOT LIMITED TO ATTORNEYS’ FEES, EXPERT WITNESS FEES AND OTHER EXPENSES, WHETHER BASED IN COMMON LAW, TORT, CONTRACT, NEGLIGENCE, STATUTE, INCLUDING ANY AND ALL FEDERAL, STATE OR LOCAL LAWS, OR OTHERWISE (COLLECTIVELY “CLAIM(S)”), ARISING FROM OR IN CONNECTION WITH ANY: (a) PATENT, TRADEMARK, COPYRIGHT AND INTELLECTUAL PROPERTY INFRINGEMENT BY MEMBER OR AFFILIATES; (b) INJURY, DEATH, LOSS, PROPERTY DAMAGE RELATING TO MEMBER OR AFFILIATES USE OF THE SERVICES; (c) BREACH OF THIS MEMBERSHIP AGREEMENT; (d) MEMBER OR MEMBER’S AFFILIATES’ NEGLIGENT OR INTENTIONAL ACTS OR OMISSIONS.
- Severability. In the event that any provision or portion of this Membership Agreement is determined
to be invalid, illegal or unenforceable for any reason, in whole or in part, the remaining provisions of this Membership Agreement shall be unaffected thereby and shall remain in full force and effect to the fullest extent permitted by applicable law.
- Agreement as License. This Membership Agreement constitutes a License to use the Premises in accordance with the terms of this Membership Agreement and not in any way constitutes a lease or sub-lease.
- Member’s use of the Premises. Member understands other persons and entities will have access to the Premises and therefore Member shall not interfere with other persons or entities use of the Premises. Member understands that Member shall not have the permanent or exclusive use of any space in the Premises except under written agreement with EREP.
- Insurance. Innovation Pointe carries General Liability Insurance. As a member of Cowork Evansville, Member shall carry a Renters Insurance Policy to cover your own equipment while using the facility. That policy may cover your current residence/office, as well as the premises of Cowork Evansville/Innovation Pointe.
- Membership Term. The current base membership amount is $750, which is a one-time, annual fee. Memberships renew on an annual basis, unless otherwise noted by EREP. Memberships are non-transferable, non-refundable, and shall not under any circumstance be pro-rated. Other amenities may be available for an additional cost.
- Interpretation. This Membership Agreement represents a compromise between the parties and is a product of arms-length negotiations. These parties have read this Membership Agreement completely and have had the opportunity to seek the advice and assistance of competent legal counsel. In the event that ambiguity exists or is deemed to exist in any provisions of this Membership Agreement, said ambiguity is not to be construed by reference to any doctrine calling for such ambiguity to be construed against the drafter of this Membership Agreement. No statement, action, or omission of either of the parties hereto shall be considered to be a waiver of any right, including, but not by way of limitation, any failure of either party to insist upon the strict performance of any agreement, term or condition hereof, or to exercise any right or remedy consequent upon a breach thereof during the continuation of any such breach, shall constitute a waiver of any such breach or any such agreement, term or condition. No remedy or election hereunder shall be deemed exclusive, but shall, whenever possible, be cumulative with all other remedies at law or in equity. This Membership Agreement shall be governed by and construed in accordance with the laws of the State of Indiana, not including the choice of law rules thereof. The parties each consent to the exclusive jurisdiction of any state or federal court located within Vanderburgh County, Indiana. The parties each waive any objection which they may have to any proceedings commenced in a state court located within Vanderburgh County, Indiana, based upon improper venue or forum non conveniens. In the event of any litigation initiated subsequent to the date hereof between the parties hereto involving this Membership Agreement, or the respective rights and obligations of the parties hereunder, the non-prevailing party in such litigation shall pay to the prevailing party reasonable attorney fees, court costs and expenses of such litigation incurred by such prevailing party. All headings set forth herein are included for the convenience of reference only and shall not affect the interpretation hereof, nor shall any weight or value be given to the relative position of any part or provision hereof in relation to any other provision in determining such construction.
- Acceptance. I hereby acknowledge that I have read and understood all of the terms and conditions contained in this Membership Agreement and further agree to be bound to the terms and conditions of this Membership Agreement regarding my participation in and use of the Services. I understand that, as a Member of Cowork Evansville, it remains my responsibility to inform all guests, present and future, of Innovation Pointe’s policies and procedures.
I understand that, as a Member of Cowork Evansville located at Innovation Pointe, any violations of these rules and guidelines by me or my guests may result in immediate termination of my membership upon the sole and unfettered discretion of the EREP President and/or EREP Board of Directors.
GETTING STARTED
Member Entrance Procedures
Upon acceptance into the co-working space at Innovation Pointe, Members will need to complete the following steps:
- Review and sign a copy of the Member Agreement.
- Choose the package of membership that works best for them.
- Present a check in the amount of the chosen membership package fee in addition to a $20 non-refundable deposit to cover onboarding costs. (Note: Deposits not required for membership renewals)
Business Hours
Normal business hours are from 8:00AM until 5:00PM, Monday through Friday excluding the holidays (listed below). During these times, Innovation Pointe’s main door should be open and the Evansville Regional Economic Partnership staff should be available to assist Members with office equipment and all other needs. Innovation Pointe’s front door schedule is driven by events/meetings held in the evenings; however, the elevators are only accessible by key fob after 5:00PM, unless other arrangements have been made with Evansville Regional Economic Partnership staff. If Members wish to use the facility after hours, Members must use their assigned key fobs to enter the building and operate the elevators. The front door or elevators may remain open after normal business hours for events/meetings upon request.

Building Access & Security
The facility is secured through a security fob system and a key lock system. The Evansville Regional Economic Partnership Facility Operations Manager will issue a security key fob to each Member. Keys for scheduled conference rooms are required to be signed out by the individual that will be receiving access and it is the responsibility of that individual to return the key to the Evansville Regional Economic Partnership. Members and their companies are responsible for returning security key fobs to the Evansville Regional Economic Partnership staff when employees discontinue membership.
At no time should security locks be bypassed or left in an open position and external doors should never be propped open whilst unattended.
Keys and key fobs are non-transferable and should not be lent out at any time to anyone for any reason. Lending of keys and/or key fobs will result in termination of your membership.
If keys/fobs are lost, stolen, or broken, Members will need to notify the Facility Operations Manager immediately so locks can be changed and new keys/fobs issued. The Member is responsible for all fees associated with new locks and/or keys.
Innovation Pointe and the Growth Alliance cannot be held liable for security breaches resulting from failure to follow the above procedures.
During normal business hours, Innovation Pointe’s front doors will be unlocked so Members may enter the facility without scanning their key fob.
Billing, Invoices, & Late Fees
Membership renewal invoices are transmitted electronically (via email) to each Member at least 10 days in advance of the annual renewal date, by which date payment is due. Members may be subject to termination of their membership if payment is not received within 3-days of the renewal date.

Other Accepted Payment Methods: Cash, Check, Money Order, or PayPal.
As Members of Cowork Evansville, you may have selected the option to receive mail to a mail box located within the co-working space. A Evansville Regional Economic Partnership staff member retrieves the mail daily (Monday-Friday) to disperse in the individual member mail boxes located within the co-working space. Please notify the Facility Operations Manager if you wish to receive mail to this location.

Parking
ON THE STREET:
Free 2-hour parking Monday-Friday from 8AM-5PM. It is unmonitored after 5PM and on weekends and some holidays.
BACK 40 PARKING LOT:
Free 24-hour parking is located behind the Civic Center along Ninth Street.
PARKING GARAGE:
- Designated parking spots are available for monthly rent in the nearby City parking structures ($40-$60 per space/monthly). Please contact the parking garage manager (812) 435-6061 to arrange this option.

Online Communication Platform
Slack is utilized by Members for the purpose of easily staying connected and informed. Members may share documents, post on the feed, take a poll, send a text or email to one person or the whole group, etc. It is often used by members to post on the feed and/or calendar planned times they will be working at Cowork Evansville in order to invite potential collaborations with other members. New members will be emailed a link to join the Slack group.

Cowork Evansville at Innovation Pointe provides a number of amenities that enable start-up businesses to succeed. These services include assistance with SBIR/STTR programs for the creation of intellectual property, assisting with the commercialization of intellectual property, assistance with business development, and access to office equipment and conference rooms. In the addition to these valuable services, Cowork Evansville provides a high-tech atmosphere which includes a 100 MB fiber internet connection to SONET Ring.

FACILITIES & EQUIPMENT
Right of Entry
Evansville Regional Economic Partnership staff and Innovation Pointe agents shall at all times have the right to enter the facility space, by pass key or otherwise, to examine facility space, or to make repairs, additions, or alterations as may be necessary for the safety, improvement, and/or preservation thereof, or of the building, or to show the premises for other purposes.
Care & Use of Facilities
Innovation Pointe premises are provided for the purpose of carrying on the prescribed business outlined in your Business Survey Form. Members shall comply with all health, safety, environmental and other ordinances and laws now existing or to be enacted, and the rules and regulations established or to be established by Innovation Pointe. Members shall maintain and keep the facility space, furniture, and all common areas in a neat, clean, and orderly condition, during the term of your membership, and shall not cause damage to or defacement of same.
At the end of your membership, whether by expiration or termination, Member shall, without further notice, deliver all of the keys to the facility space, all security passes to the facility, all of the parking permits issued to the Member, and furniture and fixtures assigned to the Member. The Member shall deliver possession of said facility space and appurtenances to Innovation Pointe, clean the facility space such that it is free from trash and in the original condition as received (save and except any alterations, additions, and improvements consented to in writing by Innovation Pointe as provided herein), reasonable wear and tear accepted. Member shall not cause an increase in the fire or hazard insurance premiums by Member use of the facility space or any Innovation Pointe premises.
Alterations or Improvements
Members are not allowed to make any alterations, modifications or improvements to the facility space or the Innovation Pointe premises without first obtaining the written consent of the Evansville Regional Economic Partnership Facility Manager. Any alterations, modifications, or improvements made by Members shall become the property of Innovation Pointe and shall be surrendered to Innovation Pointe at the termination or expiration of the membership or any extensions or renewals thereof without compensation. Any such alterations, modifications or improvements shall not impair the safety or the appearance of the facilities and shall be made according to all applicable laws, ordinances, regulations and policies, including but not limited to those of Innovation Pointe. Upon the termination of the membership, if the Evansville Regional Economic Partnership directs by written notice to the Member, the Member, at its sole expense, shall promptly remove any additions and/or restore any modifications or improvements designated by the Evansville Regional Economic Partnership and repair any damage caused by removal and restore the premises to their original condition.
Members shall not otherwise mark, paint, drill into or in any way alter the windows, doors, walls, ceiling, partitions or floors of the Innovation Pointe building or premises, without the prior written consent of a Evansville Regional Economic Partnership staff member.
Maintenance & Repairs
If a Member becomes aware of a facility repair or maintenance need, this should be reported to the Facility Operations Manager promptly. If those needs are particularly urgent and may result in a dangerous situation for Clients/Tenants and visitors or cause damage to the facility, Members should notify the Facility Operations Manager immediately so the situation will be given priority.
Logos & Signage
Signage may be provided by the Evansville Regional Economic Partnership at its discretion. Alternatively, Members may be permitted, on a case-by-case basis, to provide their own signage, subject to the prior written approval of the Growth Alliance.
If Members wish to use the Innovation Pointe logo, Cowork Evansville logo, or the Makerspace logo in their advertising and promotional efforts, they must submit a written request to the Evansville Regional Economic Partnership staff for approval.
Conference Rooms
Conference rooms are available throughout the facility for Member use. While refreshments may be served in conference rooms, Members are responsible for cleaning up all trash and debris after use of the room. Please also remember to remove all perishable trash from the room and take it to the dumpster located in the loading dock area.
- First-come, first-serve conference rooms are available on the 2nd floor of the facility for Member use without the need for reservations.
- Larger meeting rooms are also available for Member use:
- Executive Conference Room (5th floor) seats up to 22
- Executive Dining Room (1st floor) seats up to 10
- Media Suite (1st floor) holds up to 50
In order to reserve one of the above-mentioned rooms, please notify our admin (Admin@growthallianceevv.com) of the date/time in order to reserve the room.
Office & Photocopying Equipment
A copier/printer/fax/scan is available for Member use. The copier and fax machine are currently located on the fifth floor. Members are assigned an account accessed by key code in order to be charged accordingly for usage per copy/print ($0.05/b&w | $0.07/color).
Scan-to-email is also available upon request. If you have any trouble with the copy or fax machine, please notify a Growth Alliance staff member for assistance.
Indiana CoWorking Passport (ICP)
The Indiana CoWorking Passport (ICP) is a reciprocal rights arrangement between top co-working and innovation hubs in Indiana. Co-workers at an ICP member site may request the ability to work at a fellow ICP remote site one day per month. Any additional use is not expected of an ICP site and is left entirely to their discretion. ICP is member managed and free to co-working sites and their members.

POLICIES & RULES
Professional Conduct/Prohibited Activity
Cowork Evansville seeks to provide a friendly, safe, and professional atmosphere for all members. In order to maintain this atmosphere, certain activities must be prohibited. Members of Cowork Evansville should provide reasonable cooperation with the Evansville Regional Economic Partnership staff and other Members in abiding by the following rules:
- The sidewalks, entrances, and hallways in common areas shall not be obstructed by any Members or used for any purpose other than entering and exiting unless they are being used as temporary moving routes at a time approved by the Evansville Regional Economic Partnership staff.
- Members will be responsible for providing supervision of any moving operations that may involve common areas of Innovation Pointe, and will be liable for any losses/damages that result from such activities and/or from the Member’s failure to provide such supervision.
- Toilets, sinks, and other plumbing fixtures will be used responsibly and for their intended purposes. No coffee grounds, food, paper towels, or non-intended substances shall be flushed or washed down drains. All damages resulting from misuse of plumbing fixtures shall be borne by the Member who caused or whose employees, customers, visitors, or invitees have caused the damage. If a Member is having a problem with or sees a broken fixture, it should be reported directly to the Facility Operations Manager, so it can be promptly fixed.
- Loud or unusual noises or odors will not be permitted in Cowork Evansville if it is offensive or disruptive to the other Members.
- No cooking is allowed in the facility, except that by microwave and coffee/tea service.
- Clean-up after yourself. Cowork Evansville must remain presentable at all times. Leave any space you use as you found it-or better!
- Members must move furniture back into the standard layout positions after leaving each day. The desks are not setup for a personal arrangement designed for specific people, but are meant to be shared.
- Ask someone if you don’t know where something belongs.
- The Evansville Regional Economic Partnership reserves the right to charge a fee to cover the cost of cleaning up excessive messes. Anyone who behaves in a manner that is destructive to Cowork Evansville or Innovation Pointe may be asked to leave.
- Guests are not permitted to be present in the designated co-working space without prior approval by the Evansville Regional Economic Partnership. This includes children, family members, friends, pets, etc.
- The only exception is a brief tour of Cowork Evansville given to an interested party accompanied by a Member.
- Meetings with non-members must be conducted in conference rooms or other designated areas, and the shared co-working space. This is based on reasonable usage by Members. Conference rooms are not intended to be used for unlimited amounts of time, and if needed for over a 2-hour period, a request for reservation must be approved by an Evansville Regional Economic Partnership staff member. This is to ensure that these rooms have some availability for other Members to utilize as well.
- Guests/Non-members must be accompanied by a Member at all times while using the Innovation Pointe facilities. The inviting Member will be responsible for their guest’s actions at all times.
- Members may conduct phone conversations quietly in the co-working space as long as it is not disruptive to other members. Use your best judgement and be courteous to your neighbor.
- Please refrain from holding conference calls, speaking in raised voices, using webcams, etc.
- While short calls may not pose a problem, incessant calls can be very distracting to others. The occasional and not very talkative phone call of 5-10 minutes is sometimes necessary; however if you know that a call will persist for more than 5 minutes, be especially talkative, or simply need privacy, please take the call to any of the meeting rooms, phone booths, or hallways.
- Members are to be responsible and respectful with the shared resources such as bandwidth, conference room reservations, printer usage, white boards, etc. If you use an excessive amount of something, you may be charged an additional fee accordingly. Please make payment arrangements with the Facility Operations Manager if you identify certain excessive needs.
- No firearms, illegal weapons, intoxicating drugs, alcoholic beverages, explosives, fireworks, flammable, radioactive, or potentially contagious/hazardous materials will be permitted in the Innovation Pointe building without prior disclosure and specific written permission from the Facility Operations Manager. Member must supply the Facility Operations Manager with Material Safety Data Sheets for all chemicals and hazardous materials used in their line of business. Member must also comply with all OSHA and EPA requirements.
- Innovation Pointe is a smoke free facility. Members shall not smoke nor permit its employees, guests, invitees, or others to smoke in the building. There is a designated area outside the back door of the facility along with a receptacle for disposal.
- Subletting is not permitted. Should a Member in EREP in subletting of any kind, there will be an immediate termination of their membership.
- The Innovation Pointe building shall not be used for lodging or over-night occupancy.
- No canvassing, general solicitations, or distribution of political, religious, or cause literature to other Members or Innovation Pointe Clients will be permitted.
- Respect other Members’ personal and business privacy, confidentiality, safety, property and data. If you’re not sure about something, ask them.
- Member must use space for business purposes only specified in this agreement. Member shall not conduct any unlawful trade business, or occupation. Member should obtain all necessary licenses and permits, and comply with all laws and regulations.
- Innovation Pointe building will not be used for storage of personal belongings, vehicles, or any items not used in the operations of the Member’s company. Members must take all belongings with them when they leave for the day if they have not otherwise secured a storage unit. Continuous leaving behind/storage of items, no matter how small, is not acceptable.
- Member shall assume full responsibility for protecting their belongings. The Landlord shall have no responsibility or liability for any theft, robbery, or other crime in the building.
- Member shall not install any signal, communication, alarm or other utility or service system or equipment without the prior written consent of Innovation Pointe Facility Manager.
- Member shall comply with all safety, fire protection, and evacuation procedures and regulation established by Innovation Pointe or any governmental agency.
- Member shall cooperate and participate in all reasonable security programs affecting the building.
- Members are not permitted to hang pictures on the walls of the co-working space or workrooms; and no offensive displays of a sexual, political, etc., nature will be permitted.
- Conduct yourself in a way that is considerate and respectful of other members. While collaborations are encouraged between members of the co-working space, we kindly ask that co-workers use their discretion in conducting collaborative meetings with fellow co-workers in a way that is respectful to others using a space for their own business practices.
Wait List Policy
If you are interested in a private office, you may request to be “wait-listed” for the next available office space. Please notify the Facility Operations Manager of your request. As space comes available, individuals/companies on the wait list will be contacted on a first come, first serve basis to assess their needs and determine occupancy.
Member Exit Procedures
When exiting the incubator, the following steps must be taken:
- Notify the Facility Operations Manager and the Post Office of your new forwarding address. Forms may be picked up at the Post Office.
- Set up a checkout appointment with the Facility Operations Manager to fill out an exit survey and turn in all keys and key fobs. Before this appointment, the co-working space must be completely vacated of all personal and company effects. Cowork Evansville must also be clean and free of all trash and debris.
MEMBER POLICY COMPLIANCE
I hereby acknowledge that I have read and understood all of the terms and conditions contained in this Membership Agreement and further agree to be bound to the TOU of this Membership Agreement regarding my participation in and use of the services. I understand that, as a Member of Cowork Evansville, it remains my responsibility to inform all guests, present and future, of Innovation Pointe’s policies and procedures.
I understand that, as a Member of Cowork Evansville located at Innovation Pointe, any violations of these rules and guidelines by me or my guests may result in immediate termination of my membership upon the discretion of the Evansville Regional Economic Partnership.
